The Bengaluru-headquartered company is expected to seek a valuation of around <strong>$15 billion<\/strong> and raise approximately <strong>\u20b912,000 crore<\/strong> through a<a href=\"https:\/\/lakshmishree.com\/blog\/ofs-in-share-market\/\"> <mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-ast-global-color-0-color\"><strong>pure offer for sale (OFS)<\/strong>,<\/mark><\/a> according to people familiar with the matter.<\/p>\n\n\n\n<p>With this clearance, PhonePe is set to become the <strong>second-largest \u201cnew economy\u201d <\/strong><a href=\"https:\/\/lakshmishree.com\/news\/10-upcoming-ipos-in-india\/\" data-type=\"post\" data-id=\"7702\"><mark style=\"background-color:var(--ast-global-color-5)\" class=\"has-inline-color has-ast-global-color-0-color\"><strong>IPO in India<\/strong> in 20<\/mark><mark style=\"background-color:#ffffff\" class=\"has-inline-color has-ast-global-color-0-color\">26<\/mark><\/a>, after Paytm\u2019s 2021 listing, and the most significant fintech market debut since the sector\u2019s post-pandemic reset.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">A milestone for India\u2019s UPI ecosystem<\/h3>\n\n\n\n<p>PhonePe\u2019s IPO is more than a corporate fundraising event\u2014it represents the public market debut of the most dominant player in India\u2019s Unified Payments Interface (UPI) ecosystem. The platform commands roughly <strong>45 percent market share in UPI transactions<\/strong>, ahead of Google Pay\u2019s estimated 35 percent, and processes <strong>close to 10 billion transactions every month<\/strong>, with a total transaction value exceeding <strong>\u20b912 lakh crore<\/strong>.<\/p>\n\n\n\n<p>Given that UPI now accounts for <strong>over 85 percent of India\u2019s digital payment volumes<\/strong>, PhonePe has become deeply embedded in the country\u2019s financial infrastructure. This scale and consistency are central to the investment case, especially at a time when public market investors have grown more selective about fintech profitability and business durability.<\/p>\n\n\n\n<p>Unlike many consumer internet companies that rely heavily on incentives to drive usage, PhonePe has maintained its leadership position even as competition intensified and regulatory scrutiny around UPI pricing increased.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Structure of the IPO and selling shareholders<\/h3>\n\n\n\n<p>The proposed  PhonePe&#8217;s IPO will be a <strong>pure OFS<\/strong>, meaning no fresh capital will be raised by the company. Instead, existing shareholders will dilute their stakes. Key sellers are expected to include <strong>Walmart<\/strong>, which is the majority owner, along with Tiger Global and Microsoft. Collectively, these shareholders are likely to offload around <strong>10 percent<\/strong> of their holdings.<\/p>\n\n\n\n<p>PhonePe had filed its draft red herring prospectus (DRHP) through SEBI\u2019s confidential pre-filing route in September 2025, a mechanism increasingly used by large issuers to test regulatory waters before going public. The company is now expected to submit an updated <a href=\"https:\/\/lakshmishree.com\/blog\/drhp-full-form\/\"><mark style=\"background-color:rgba(0, 0, 0, 0)\" class=\"has-inline-color has-ast-global-color-0-color\">DRHP<\/mark> <\/a>in the coming days, paving the way for a formal launch timeline.<\/p>\n\n\n\n<p>Global investment banks <strong>Kotak Mahindra Capital, Citi, Morgan Stanley, and JP Morgan<\/strong> are advising on the offering.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Valuation context: lessons from past fintech IPOs<\/h3>\n\n\n\n<p>The targeted <strong>$15 billion valuation<\/strong> places PhonePe below Paytm\u2019s IPO valuation of roughly $20 billion in 2021 but significantly above the levels at which many fintech peers are currently trading.<\/p>\n\n\n\n<p>The contrast with Paytm is instructive. Although Paytm\u2019s IPO was fully subscribed, its valuation declined sharply in the aftermath due to concerns over profitability, regulatory changes, and business model sustainability. Paytm\u2019s current valuation is estimated at around $9.5 billion, well below its listing level.<\/p>\n\n\n\n<p>By comparison, other fintech listings have delivered more stable outcomes. PB Fintech, the parent of Policybazaar, has seen its valuation rise to around $9 billion, up from roughly $6 billion at listing, while wealth-tech platform <strong>Groww<\/strong> listed at approximately $7.5 billion and is now valued closer to $10.5 billion.<\/p>\n\n\n\n<p>Market participants note that PhonePe\u2019s stronger fundamentals\u2014particularly its dominance in a mission-critical payments rail\u2014could help it avoid some of the post-listing volatility that affected earlier fintech IPOs.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Beyond payments: diversification with discipline<\/h3>\n\n\n\n<p>While payments continue to anchor PhonePe\u2019s business accounting for <strong>over 90 percent of total revenue<\/strong> the company has gradually expanded into adjacent financial services. These include its stock trading platform <strong>Share Market<\/strong>, insurance distribution, and lending partnerships.<\/p>\n\n\n\n<p>Unlike aggressive diversification strategies seen in earlier fintech cycles, PhonePe\u2019s expansion has been relatively measured, with a focus on leveraging its existing user base rather than chasing growth at any cost. Investors are expected to scrutinise how these newer verticals contribute to revenue growth and margin improvement over the medium term.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Why this IPO matters<\/h3>\n\n\n\n<p>PhonePe\u2019s listing comes at a time when India\u2019s capital markets are reassessing the value of scale, profitability pathways, and regulatory resilience in technology-driven businesses.
